Wholesale Fulfillment Terms

These Wholesale Fulfillment Terms (“Terms”) govern participation in the Apple Blossom wholesale fulfillment and dropshipping program (the “Program”). By applying for membership, placing an order, or accessing Program services, you (“Member”) agree to the following terms.
This Program is available to approved business resellers only.
1. Eligibility & Approval
Participation in the Program is subject to approval. Apple Blossom reserves the right to approve, deny, suspend, or revoke membership at any time, for any reason, including misalignment with brand standards or misuse of Program resources.
The Program is intended for legitimate businesses reselling products to their own customers. Consumer purchases are not permitted.
2. Resale Documentation & Tax Responsibility
Members must provide valid resale documentation (reseller permit, resale certificate, or equivalent) as required by law in order to purchase products for resale on a tax-exempt basis.
Members are responsible for:
- Providing accurate and current resale documentation
- Collecting and remitting applicable sales tax to their customers
- Complying with all local, state, and federal tax regulations
Failure to provide valid documentation may result in tax being charged or suspension of Program access.
3. Scope of Fulfillment Services
Apple Blossom provides fulfillment services only, including product assembly, packaging, and shipment directly to the Member’s customer.
Members may not:
- Purchase products for the purpose of self-fulfillment
- Replicate, recreate, or reverse-engineer Apple Blossom product designs independently
All orders must be submitted through approved order channels and follow Program guidelines.
4. Use of Images, Branding & Content
All product images, designs, descriptions, and marketing materials provided by Apple Blossom are proprietary.
Members may not use Apple Blossom images or branding by default.
Use of images or content is permitted only with explicit written approval from Apple Blossom and may be revoked at any time.
Members may not:
- Use Apple Blossom product images without permission
- Represent Apple Blossom products as their own original designs
- Use Apple Blossom logos or branding unless expressly authorized
Unauthorized use of images or content is grounds for immediate termination of membership.
5. Shopify Synkro & Third-Party Tools
Product and order syncing via Shopify is optional.
If a Member elects to use Shopify sync:
- A third-party Shopify app must be installed in the Member’s store
- The app subscription is billed directly by Shopify or the app provider
- Apple Blossom does not control, bill for, or mark up third-party app fees
Members are responsible for maintaining their own Shopify account and integrations.
6. Orders, Fulfillment & Testing
Apple Blossom may require a test order prior to full Program activation.
Members are responsible for:
- Ensuring order details and shipping information are accurate
- Communicating accurate delivery expectations to their customers
- Reviewing fulfillment timelines and cutoff requirements
Apple Blossom is not responsible for delays caused by incomplete, inaccurate, or improperly submitted orders.
7. Alcohol Shipments (21+ Products)
Certain products may contain alcohol and are restricted to recipients 21 years of age or older.
Members are responsible for:
- Ensuring alcohol products are sold only where legally permitted
- Verifying recipient eligibility where required
Apple Blossom cannot ship alcohol to certain states or jurisdictions. Orders containing alcohol that are submitted to restricted destinations may be delayed, modified, or canceled.
It is the Member’s responsibility to confirm shipping eligibility prior to submitting an order.
8. Shipping, Returns & Undeliverable Packages
Most orders ship within 1 business day, larger orders may require longer leadtime.
Orders will not ship until they are paid for in full.
Members are responsible for providing accurate and complete shipping information at the time of order.
If a package is returned due to:
- Incorrect or incomplete address
- Refusal by the recipient
- Failure to receive or sign for delivery
- Carrier-related non-delivery
The order will be considered fulfilled.
If a package is returned to Apple Blossom Fulfillment, we will notify the Member via email. Upon confirmation of a corrected address, the order may be reshipped. Any additional shipping or handling charges incurred for reshipment will be invoiced to the Member prior to release.
Returned products may be:
- Returned to inventory at Apple Blossom’s discretion, or
- Disposed of if perishable or unsellable
Members are responsible for monitoring delivery status and communicating with their end customer regarding any delivery issues.
9. Pricing, Membership Fees & Changes
Members are free to set their own resale pricing.
Membership fees provide access to wholesale fulfillment services and Program resources. Membership fees do not include product costs, shipping, or third-party tools.
Apple Blossom reserves the right to update pricing, offerings, or Program structure with notice.
10. Termination
Either party may terminate membership at any time.
Apple Blossom reserves the right to immediately suspend or terminate membership for:
- Unauthorized use of images or branding
- Misrepresentation of products
- Violation of these Terms
- Conduct that negatively impacts the Program or other Members
Upon termination, access to wholesale pricing and fulfillment services will be revoked.
11. Limitation of Liability
Apple Blossom provides fulfillment services only and is not responsible for Member business operations, customer relationships, marketing practices, or resale outcomes.
To the fullest extent permitted by law, Apple Blossom shall not be liable for indirect, incidental, or consequential damages arising from participation in the Program.
12. Modifications
These Terms may be updated from time to time. Continued participation in the Program constitutes acceptance of any updated Terms.
